You must read and agree to these terms and conditions before you may access or view our Site. Please read them carefully. By visiting the AllcitiesDating.com Site, you are agreeing to its terms. This Agreement is subject to change at any time and changes are effective upon posting. Bookmark this page and check it frequently as it is up to you to refer to this page for any amendments/changes to the original Agreement.

1. Eligibility:

You must be 18 or over to register as a member of or use this Site. Membership in the service is void where prohibited. By using and/or viewing this site, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of its terms and conditions, that you are at least 18-years old, and that you are not prohibited by law from using the Site.

2. Fees/Termination:

Site and related service usage and/or subscription fees and duration of services were provided to you upon registration and may change from time to time upon electronic notice to you. We use credit card processors with in the United States to process your transactions. In some instances, your bank or credit card issuer may charge you a small "foreign transaction fee" if outside the United States. Before purchasing any service, please check with your bank or credit card issuer for more information about its policies regarding foreign transaction fees.

We reserve the right to terminate your access to the Site for any reason or no reason. ALLCITIES LLC.. may terminate your membership upon sending notice to you at the email address you provide in your application for membership or such other email address as you may later provide to us or via any other method in its sole discretion. If ALLCITIES LLC.. terminates your membership in the AllcitiesDating.com service because you have breached this Agreement, in the sole discretion of ALLCITIES LLC.. , you will not be entitled to any refund of any unused subscription fees and thereby you agree to waive any claim to such refund of fees. Upon termination of your membership for any reason or no reason any and all points accumulated in any of the Site's programs shall be terminated with no liability to you. You expressly acknowledge that any program providing points or other credits and your participation in it can be terminated in the sole discretion by ALLCITIES LLC.. at any time with no liability to you whatsoever and that you did not join or remain a member of the Site or any other services in reliance on any such program(s), or the use or availability of such points or credits, or the continuation of the program(s). Points and credits have no monetary value whatsoever and may not be transferred to other persons. Even after this Agreement is terminated certain provisions will remain in effect, namely Sections 1, 3, 4, 5, 7, 9 10, 11, 12, 13, 14, inclusive, of this Agreement. Membership fees are charged immediately upon signing up for a “Star Membership”. The membership fee will be charged on a monthly basis, exactly one month from the prior month I.e. Sign up June 14th, you get charged June 14th and then your card will be charged the next month on July 14th, so every month until cancelled. If cancelled halfway through the monthly term there is no pro-rated discount or refund. If the user purchases a multiple month package i.e. 3 months or 6 months, the card is charged when signed up and then every 3 or 6 months until cancelled.

You, the buyer, may cancel this agreement, without any penalty or obligation, at any time prior to midnight of the original contract seller's third business day following the date of this contract, excluding Sundays and holidays. To cancel this agreement, mail or deliver a signed and dated notice, or send an e-mail which states that you, the buyer, are canceling this agreement, or words of similar effect. If by reason of death or Disability you, the buyer, are unable to receive all services for which the buyer has contracted, the buyer and the buyer's estate may elect to be relieved of the obligation to make payments for services other than those received before death or the onset of Disability. "Disability" means a condition which precludes the buyer from physically using the services specified in the contract during the term of disability and the condition is verified in writing by a physician designated and remunerated by the buyer. The written verification of the physician shall be presented to ALLCITIES, the seller. If you, the buyer, have prepaid any amount for services, so much of the amount prepaid that is allocable to services that the buyer has not received due to death or Disability shall be promptly refunded to the buyer or his or her representative. This provision 2 (b) shall supersede any other provision's terms that are contrary herein.

3. Non-Commercial Use by Members/Viewers:

This AllcitiesDating.com site is for the personal use of individual members and viewers only and may not be used in connection with any commercial endeavors. Organizations, companies, and/or businesses may not become members of this AllcitiesDating.com site and shall not use the AllcitiesDating.com service or site for any purpose including but not limited to: sending unsolicited commercial e-mail to members, sending advertisements for other web sites and services in this site's chat rooms, or using member personal identifying information for commercial purposes. Illegal and/or unauthorized uses of the site, including unauthorized framing of or linking to the site or the sending of unsolicited commercial email will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress and/or termination of membership at AllcitiesDating.com's sole discretion. 4. Proprietary Rights of Content on AllcitiesDating.com:

ALLCITIES LLC.. owns and retains other proprietary rights in the AllcitiesDating.com site and the AllcitiesDating.com service. The site contains the copyrighted material, trademarks, and other proprietary information of ALLCITIES LLC.. , and its licensors. Except for that information which is in the public domain or for which you have been given permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

5. Content Posted on the Site/CDA:
ALLCITIES LLC.. claims immunity from liability to the fullest extent under the law and as provided under the Communications Decency Act for Content provided by third parties and members and nothing in this Agreement is intended to waive, remove, or usurp such immunity. You understand and agree that ALLCITIES LLC.. may delete any content, messages, photos or profiles (collectively, "Content") that in the sole judgment ALLCITIES LLC.. violates the Terms of Use or which might be offensive, illegal, or that might violate the rights, harm, or threaten thesafety of ALLCITIES LLC. and/or its members.

B) You are solely responsible for the content that you publish or display (hereinafter, "post") on the AllcitiesDating.com, or transmit to other ALLCITIES LLC.. members.

C) By posting content to any public area of AllcitiesDating.com, you automatically grant, and you represent and warrant that you have the right to grant, to ALLCITIES LLC.. and its members, an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display, and distribute such information, rights of publicity, and content and to prepare derivative works of, or incorporate into other works and other media, such information and content, and to grant and authorize sublicenses of the foregoing. D) ALLCITIES LLC.. will investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the site or service and terminating the membership of such violators. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, ALLCITIES LLC.. may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to AllcitiesDating.com during the registration process. In such case, notice shall be given 3 days after the date of mailing. You agree that this Agreement and all incorporated Agreements may be automatically assigned by ALLCITIES LLC.. , in our sole discretion, to a third party. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. References to ALLCITIES LLC.. shall include its subsidiaries, affiliates, officers, agents, and other partners and employees. ALLCITIES LLC.. 's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.

15. Billing

A) General. Allcities LLC bills you through an online account (your "Billing Account") for use of the Service. You agree to pay Allcities LLC all charges at the prices then in effect for any use of the Service by you or other persons (including your agents) using your Billing Account, and you authorize Allcities LLC to charge your chosen payment provider (your "Payment Method") for the Service. You agree to make payment using that selected Payment Method. Allcities LLC reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment.

B) Recurring Billing. Most subscription plans to the Service consist of an initial period, for which there is a onetime charge, followed by recurring period charges as agreed to by you. By entering into this Agreement, you acknowledge that your subscription has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation. ALLCITIES LLC MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE (CONFIRMED IN WRITING UPON REQUEST BY ALLCITIES LLC) THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE ALLCITIES LLC REASONABLY COULD ACT. TO TERMINATE YOUR AUTHORIZATION OR CHANGE YOUR PAYMENT METHOD, GO TO ACCOUNT SETTINGS.

Payment Method. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method (the "Payment Method Provider"). If Allcities LLC does not receive payment from your Payment Method Provider, you agree to pay all amounts due on your Billing Account upon demand.

D) Change in Amount Authorized. If the amount to be charged to your Billing Account varies from the amount you preauthorized (other than due to the imposition or change in the amount of state sales taxes), you have the right to receive, and Allcities LLC shall provide, notice of the amount to be charged and the date of the charge at least 10 days before the scheduled date of the transaction. Any agreement you have with your Payment Method Provider will govern your use of your Payment Method. You agree that Allcities LLC may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle.

E) Auto-renewal. Your Allcities LLC subscription will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected. To change or resign your subscription at any time, go to Account Settings. If you resign, you may use your subscription until the end of your then-current subscription term; your subscription will not be renewed after your then-current term expires. However, you won't be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period.

F) Reoccurring billing is only available for six (6) month periods and then membership re newel will be needed
